Senior In-House Counsel

Job Title: Legal Director (Founding Team) Salary Range: Up to $200,000 USD Location: Mexico City or Monterrey The company is a fast-growing fintech and digital asset trading firm, specializing in OTC markets and institutional financial infrastructure. Operating across multiple jurisdictions in Latin America and globally, the organization combines regulatory rigor with innovative trading technology to deliver secure, efficient solutions for institutional partners. This is a rare opportunity to join as part of the founding team and build the legal, regulatory, and compliance framework at the core of the company's expansion. Key Responsibilities Lead legal strategy for expansion into new Latin American markets. Secure and maintain all required licenses and registrations (e.g., VASP registrations, AML reporting frameworks). Serve as the primary legal point of contact with financial regulators and government authorities (e.g., CNBV, UIF, SBS). Manage and optimize the Cayman Sandwich corporate structure, including intercompany agreements, governance, and tax filings. Oversee corporate governance matters such as board resolutions, ESOP administration, and cap table management. Draft, review, and negotiate key commercial agreements with institutional clients, partners, and banking counterparties. Advise on regulatory and legal implications of launching new financial products. Provide strategic oversight of the group-wide AML/CFT program in collaboration with the Compliance Officer. Develop and implement a comprehensive legal and regulatory risk management framework. Work with external tax advisors to ensure the international structure remains compliant and tax-efficient. Required Skills & Experience 5+ years of legal experience at a top-tier law firm and/or in-house at a fintech, financial institution, or crypto company. Strong expertise across corporate, regulatory, and compliance law. Proven experience managing international corporate structures. Demonstrated interest and understanding of trading and digital assets. Entrepreneurial, solutions-oriented mindset; comfortable operating in fast-paced, high-growth environments.
